Biography

Nimma Jo-Madugu is a Partner at KENNA and a key member of the firm’s Corporate and Commercial Transactions, Banking and Finance, Energy, and Telecommunications practice units. With over a decade of experience spanning transactional advisory, dispute resolution, and legal research, she brings a unique interdisciplinary and cross-sectoral perspective to her practice.

Nimma is recognised for her ability to navigate the intersection of law, policy, and business, serving as a trusted advisor to local and international companies operating in private equity, telecommunications, energy, fast-moving consumer goods, and banking. As the firm’s registered Compliance Officer with the Nigerian Securities and Exchange Commission, she possesses deep knowledge of Nigeria’s capital markets and securities regulation, with a strong focus on risk mitigation, regulatory strategy, and commercial sustainability.

Representative Experience

• Advising on the formation of a public-private partnership to establish a multi-trillion Naira infrastructure fund (the largest in Nigeria), including due diligence on prospective fund managers.

• Representing the fund manager in the establishment of one of the few real estate investment trusts ever created in Nigeria, with a target fund size of NGN35 billion

• Leading the team representing the buyer in the merger of two financial institutions, highlighting legal risks worth billions of Naira during due diligence and curating risk mitigation clauses.

• Representing the purchaser in a multi-billion Naira acquisition of interests in a marginal field and advising on regulatory requirements to conclude the purchase.

• Supervising the preparation of legal and governance documents for the establishment of a bank and liaising with the Central Bank of Nigeria to obtain a national banking license.

• Advising a telecommunications company on the scope of the Federal Competition Commission’s powers in view of the extant competition-related functions of the Nigerian Communications Commission.
